1. Agreement to terms

These Terms and Conditions (“Terms”) govern your use of the Yolda website and mobile apps (the “Services”) provided by YOLDA LLC (“Yolda,” “we,” “us”). By creating an account or using the Services, you agree to these Terms. If you are agreeing on behalf of a company (a “Fleet”), you represent that you are authorized to bind that company.

2. What Yolda does

Yolda provides software that helps Fleets define and administer driver bonus programs, create weekly settlement reports, and record payment status supplied by Fleets. Yolda is reporting software, not a payment facilitator for settlement amounts. Yolda is not a bank and does not provide banking, lending, payroll, tax, payroll-tax, or legal services.

3. Eligibility and accounts

  • You must be at least 18 and a U.S.-based user.
  • You must provide accurate information and keep it current.
  • You are responsible for safeguarding your account credentials and for activity under your account.
  • Drivers are contractors. Yolda does not support W-2 employment, and nothing in the Services creates an employment relationship between Yolda and any user, or alters the relationship between a Fleet and its Drivers.

4. Bonus programs and payments

  • Fleets define bonus programs, eligibility rules, and amounts. Yolda does not determine who earns a bonus or whether a bonus is owed — the Fleet does. Yolda facilitates calculation, approval routing, settlement reporting, and payment-status recordkeeping based on the Fleet’s configuration.
  • Settlement payment: Fleets are solely responsible for paying Drivers through their own payroll, cheque, ACH, accounting, or other process after settlement rows are reviewed.
  • Payment status: Yolda records whether a Fleet reports a settlement item paid or unpaid. That status is informational and is not independent proof that funds settled at the Driver’s bank.
  • Disputes about whether a bonus was earned are between the Driver and the Fleet. Yolda is not responsible for the underlying bonus decision.

5. Acceptable use

You agree not to: use the Services unlawfully; submit false information; attempt to defraud the bonus or payment system; interfere with or attack the Services; or use the Services to violate the rights of others.

6. Driver location sharing

Yolda offers an optional feature that lets a Driver share their position with the trucking company they currently work with, so the company can see its fleet on a dispatch map. This section governs that feature. How the data is handled is described in our Privacy Policy.

6.1 The Driver decides

Location sharing is off unless the Driver turns it on in the Yolda driver app, and the Driver may turn it off at any time. A trucking company cannot enable it on a Driver’s behalf, and Yolda does not enable it by default. Turning sharing off stops collection and deletes the position history Yolda holds for that Driver.

6.2 Trucking company obligations

If you are a trucking company and you ask your Drivers to share location, you are the employer and you are responsible for that decision. You agree that you will:

  • tell your Drivers, before you ask them to turn sharing on, that you will see their position, why you need it, and what you will do with it;
  • use position data only for operating your fleet — dispatch, customer ETAs, trip verification, and the safety of your Drivers and equipment;
  • limit access inside your organization to the people who need it for those purposes;
  • not use it to track a Driver outside their working time, and not require sharing as a condition of being paid for work already performed;
  • not sell it, disclose it to a data broker, or give it to a third party except as needed to operate your business and as the law allows;
  • comply with all employment, labor, notice, consent, collective bargaining, and privacy laws that apply to you, including any state law that governs employee location monitoring; and
  • not retaliate against a Driver who declines to share, or who turns sharing off.

As between you and Yolda, you are responsible for the lawfulness of your use of Driver location data, and Section 12 (Indemnification) applies to claims arising from it.

6.3 What Yolda does and does not do

Yolda provides the mechanism and processes position data on your behalf. Yolda does not sell location data, does not use it for advertising or profiling, and does not use it to make employment decisions about any Driver. Yolda does not guarantee that a position is current, accurate, or continuously available: a phone can lose signal, lose power, or have its permission revoked, and a position shown as a last known position is exactly that.

6.4 Not a safety or compliance system

The fleet map is an operational convenience. It is not an emergency service, not a hours-of-service or ELD compliance record, and must not be relied on as the sole means of locating a person in an emergency.

7. Fees

7.1 Subscription fees (Fleets)

Yolda is offered to Fleets on a tiered monthly subscription based on the number of drivers in the Fleet’s account. Current tiers include a free plan for small fleets and paid plans for larger fleets. The plans, driver thresholds, and current prices are described on our pricing page at yolda.ai. By selecting a paid plan, you authorize us (through our payment processor, Stripe) to charge the applicable monthly fee to your designated payment method until you cancel.

6.2 Billing

Paid subscriptions are billed monthly in advance. Your plan may change automatically as your driver count moves between tiers, and your fee will adjust accordingly. Fees are stated in U.S. dollars and are exclusive of any applicable taxes, which you are responsible for.

6.3 No fee to Drivers

Drivers are not charged a subscription or settlement-processing fee by Yolda. A Fleet’s chosen external payment method may have its own terms or fees outside Yolda.

6.4 Bonus funds are separate from subscription fees

Subscription fees are for use of the Yolda platform. They are separate from the bonus amounts a Fleet funds and pays to its Drivers, which are the Fleet’s own funds and obligations.

6.5 Changes to fees

We may change our subscription fees or plan structure. We will provide notice of material changes, and changes will not apply retroactively to a billing period you have already paid. Your continued use of a paid plan after a fee change takes effect constitutes acceptance of the new fee.

6.6 Cancellation and refunds

You may cancel your paid subscription at any time; cancellation takes effect at the end of your current billing period. Subscription fees are non-refundable except where required by law.

8. Third-party services

The Services rely on third parties, including Stripe for Fleet subscription billing, hosting, communications, and optional data integrations. Your use of those services may be subject to their terms. Yolda is not responsible for third-party services.

9. Intellectual property

Yolda owns the Services and all related IP. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services per these Terms. You may not copy, modify, reverse-engineer, or resell the Services.

10. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted or error-free. Yolda does not warrant the timing or result of payments a Fleet makes outside the Services.

11. Limitation of liability

To the fullest extent permitted by law, Yolda will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.

12. Indemnification

You agree to indemnify Yolda against claims arising from your misuse of the Services, your violation of these Terms, or (for Fleets) your bonus decisions and obligations to your Drivers.

13. Termination

We may suspend or terminate accounts that violate these Terms or that create legal or financial risk. You may stop using the Services at any time. Certain provisions survive termination (including payment obligations, disclaimers, liability limits, and dispute terms).

14. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules.

15. Changes to these Terms

We may update these Terms. Material changes will be notified, and continued use after changes means you accept them.
